Terms of Service

These are the terms of service of Raudsepp Investments OÜ (registry code 17510414, operating as RSP), which apply to the rsp.ee website and all RSP services. The terms form the basis of our collaboration with clients.

1. Services

RSP provides development and maintenance of websites, e-commerce stores, landing pages, and related digital solutions. The exact scope, price, and timeline of each project are agreed separately in a proposal before work begins.

2. Proposal and agreement

The free audit comes with no obligation — it does not constitute an order. An agreement is considered concluded when the client confirms a proposal in writing (by email or signed contract). A proposal is valid for 14 days from the date sent, unless stated otherwise.

3. Pricing and payment terms

Prices are fixed in the proposal. The standard payment schedule is 50% at project start and 50% at launch, unless otherwise agreed. Invoices are due within 14 days of issue. Maintenance services are billed at the start of each month. Late payments accrue statutory interest.

4. Delivery and deadlines

We do our best to meet agreed deadlines. Timelines depend on timely delivery of content and approvals from the client. In force majeure circumstances (illness, infrastructure failures, third-party service outages), deadlines may extend.

5. Google visibility guarantee

We guarantee that the website appears in Google search results for the agreed primary keyword within 90 days of launch. If it does not, we continue working at no extra charge until the goal is met. The guarantee assumes the client has followed our content and technical recommendations and that the keyword competition is realistically attainable.

6. Intellectual property

All final files and copyright in the deliverables transfer to the client upon payment of all invoices. RSP retains the right to use the project in its portfolio and marketing materials unless the client objects in writing.

7. Liability

Our liability is limited to the value of the relevant project. We are not liable for indirect damages, lost profits, or issues caused by third parties (hosting, payment providers, domain registrars). The client is responsible for the accuracy of their content and any related copyrights.

8. Confidentiality

We keep all client-related business and technical information confidential. We do not share or disclose it to third parties without the client's written consent, except as required by law.

9. Termination

Either party may terminate the engagement by written notice. Upon termination, the client pays for work completed on a pro rata basis. Maintenance agreements are terminable with 30 days' notice.

10. Dispute resolution

These terms are governed by the laws of the Republic of Estonia. The place of dispute resolution is Harju County Court. We aim to resolve disputes through negotiation first.
